The Public Company Track  ·  OTC and Small-Cap

Every public company has a past. Not every public company can prove it.

From The Market Fortress Papers, No. 4

Epic Advisory Group rebuilds your corporate record, builds your professional data room, and runs your public-company back office every month, so your company is ready the moment someone asks for proof.

The Film

What happens when you engage us, in ninety seconds.

The words are on screen, so it works with the sound off. Led personally by our founder, Steffan Dalsgaard.

The Problem

What a broken record looks like.

A record rarely breaks all at once. It breaks in four quieter ways, and each one surfaces the moment someone asks for proof.

01

Scattered

The documents exist, but they sit in old inboxes, former officers' files, and boxes no one has opened in years, so no one can produce them when asked.

02

Unsupported

The filings make statements about shares, debts, and deals that no signed document in the company's hands actually backs up.

03

Contradictory

Two sources tell two different stories, like a cap table that disagrees with the transfer agent, or a press release that disagrees with a filing.

04

Missing

Some pieces were never created at all: minutes never written, resolutions never signed, agreements that were only ever a handshake.

The Market Fortress Papers, No. 4

A clean folder is not the same as a proven record.

Where We Start

See your record the way an auditor, a buyer, or an exchange will see it. Before they do.

Every engagement starts with an NDA and one working session. We study your public filings and press releases and whatever you can share, then show management three things.

  • Your real history The story your public record actually tells, in order, as an outsider would read it.
  • What your record is missing Where it is scattered, unsupported, contradictory, or missing entirely.
  • The path to fix it What to rebuild first, what can wait, and how we would do the work.

Flags for your counsel, never legal conclusions. Then the rebuild starts where the risk is highest.

What We Do

Rebuild the record. Then keep it clean.

Five pieces of work, in the order a public company needs them.

01

Record reconstruction

We rebuild your corporate record document by document, so every fact in it can be traced to proof.

Governance

Minute book and officers

Minutes, resolutions, and bylaws rebuilt into a complete minute book, a verified record of your officers and directors, and a check of your good standing.

Ownership

Cap table and equity

Your cap table rebuilt from every issuance and reconciled to your transfer agent, with warrants, options, and convertible instruments tracked alongside it.

Debt

Notes and obligations

Every note, loan, and obligation identified and tied to the documents that support it.

Contracts

Material agreements

Agreements collected and indexed. Where a document is missing, we prepare a draft for your counsel to review.

Financial records

Organized for your auditor

Books, bank statements, and supporting records organized for your auditor, who performs the audit.

History

Material-events timeline

A dated timeline of every material event, checked against your filings and press releases.

02

The professional data room

Your rebuilt record in one place, ready the moment an auditor, a buyer, or an exchange asks to see it.

What you get Indexed, so every document has a place Access-controlled, so the right people see the right files Exportable whenever you need a copy Diligence in a single link
03

The Run

An ongoing monthly engagement that runs your public-company back office, so the record stays clean after we rebuild it.

  • Filing calendar and disclosure preparation Every deadline mapped, and every report and disclosure prepared for your officers to review, sign, and certify.
  • Material-event handling When something material happens, the disclosure is prepared and the record is updated.
  • Press releases and corporate communications Written to stay factual and consistent with what your filings say.
  • Documents for new deals Board resolutions and deal documents prepared as drafts for your counsel.
  • Deadline management Filings, meetings, renewals, and state reports tracked on one calendar, so nothing lapses.
  • Data-room upkeep New documents filed as they are created, so the data room never falls behind.
  • Transfer-agent coordination Issuances, cancellations, and share-count reconciliations coordinated with your transfer agent.
  • Corporate-secretary support Notices, agendas, minutes, and resolutions kept current in the minute book.
04

Readiness

A record built for the moment someone asks for proof.

Before you uplist

Uplist readiness

A record organized to the standard a higher market tier expects, assembled before you apply.

Before the audit

Audit readiness

Records gathered, indexed, and reconciled, so your auditor starts with everything in one place.

Before the deal

Diligence readiness

A data room that answers a buyer's or partner's first questions in a single link.

05

Ready when they ask

The rebuild has a finish line.

Where a clean record leads. When the auditor, the buyer, the partner, or the next tier asks for proof, you already have it. Companies that want software to keep a proven record current can continue into Market Fortress, stage three of the Empire Pipeline.

How We Work

Four steps. One clean record.

01

Learn

Under NDA, we study your filings, press releases, and records, and show you what your record supports and what it is missing.

02

Rebuild

We reconstruct the record document by document and deliver it in a professional data room.

03

Run

We run your public-company back office month to month, so the record stays clean.

04

Ready

When the auditor, the buyer, or the next tier asks for proof, you already have it.

The Line We Hold

What we are, and what we are not.

Clear roles protect your company. Here is exactly where our work stops and the work of your officers, counsel, and auditor begins.

What we do

We prepare, organize, reconstruct, and coordinate.

Epic Advisory Group rebuilds the record, prepares documents and disclosures as drafts, keeps the calendar, and coordinates the people who sign, opine, and audit.

What stays with your company

Your officers, your counsel, your auditor.

Your company's own officers sign and certify its filings. Your securities counsel gives legal opinions. Your auditor performs the audit.

Plainly stated. Epic Advisory Group is not a law firm, accounting firm, broker-dealer, investment adviser, or transfer agent, and does not provide legal, accounting, investment, or brokerage services. Capital raising and securities transactions are handled by registered broker-dealers and licensed counsel.

Why This Exists

We rebuilt our own record first.

When Steffan Dalsgaard's company, Lavish Enterprises, took control of VirExit Technologies (OTC: VXIT), the company had almost no records: no minute book, no shareholder records, and few contracts.

He rebuilt the record piece by piece. That rebuild is why this service exists.
